Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the NEKOD website (nekod.co) and services provided by NEKOD B.V. ("NEKOD", "we", "us"), a company registered in the Netherlands at Herengracht 420, 1017BZ Amsterdam, Netherlands, and listed in the Dutch Chamber of Commerce register (KVK) under number 94642508. By accessing our website or using our services, you agree to these Terms. If you do not agree, please do not use our services.

2. Services

NEKOD operates a platform for quality assurance and governance of applications built with AI-assisted development tools. Through the platform, we analyze your application—whether it runs on hosted builders such as Lovable, Replit, or V0, or as a full-stack codebase from tools such as Cursor or Claude Code—using read-only access where required. Our 360° assessment covers five pillars: data and database security, code quality, documentation, user access, and policies and compliance. The platform delivers a Launch Readiness Score, a 360° Risk Radar, prioritized findings, and a guided workflow from assessment through remediation. For organizations managing multiple applications, the platform also supports portfolio-level visibility and ongoing governance.

Alongside platform access, NEKOD offers professional services that may be purchased separately or as part of an engagement. These include Launch Readiness Assessments, which provide a one-time review of your application's security, code quality, and compliance posture; Remediation and Compliance services to resolve identified issues, prepare compliance documentation, and implement security improvements; Go-live Support for hands-on assistance during the first days and weeks after launch, including monitoring and incident response; and Enterprise Governance engagements, covering AI-driven development governance frameworks, enablement workshops, training, and strategic consulting for organizations running vibe coding programs at scale. The specific scope, deliverables, and pricing for each engagement are defined in a separate proposal or service agreement.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Your Obligations

When using our services, you agree to:

• Provide accurate information in forms and during engagements
• Grant necessary access (e.g., read-only repository access) as required for assessments
• Not use our services for any unlawful purpose
• Not attempt to reverse-engineer, copy, or redistribute our assessment tools or methodologies
• Maintain the confidentiality of any credentials or access you provide to us

5. Intellectual Property

Our IP

All content on the NEKOD website, our assessment methodologies, tools, reports, and documentation templates are the intellectual property of NEKOD B.V. You may not copy, distribute, or create derivative works without our written permission.

Your IP

You retain full ownership of your source code, applications, and data. Access granted to NEKOD for assessment purposes is limited to the scope and duration of the engagement. We do not claim any rights to your code or data.

Deliverables

Assessment reports, compliance documents, and other deliverables created for you are licensed to you for your use upon payment. NEKOD retains the right to use anonymized, aggregated insights from assessments to improve our services.

6. Confidentiality

We treat all information shared during engagements as confidential. We will not disclose your code, data, or assessment results to third parties without your consent, except as required by law or as described in our Privacy Policy.

Our engineering partners and team members operate under confidentiality agreements that protect your information.

7. Pricing & Payment

• Pricing for assessments and services is as quoted in our proposals or on our website.
• Payment is due upon acceptance of a proposal or as specified in the engagement agreement.
• All prices are in EUR unless otherwise stated.
• We reserve the right to update pricing. Changes will not affect active engagements.

8. Limitation of Liability

Our assessments and reports provide recommendations based on our analysis at a point in time. We do not guarantee that your application will be free of all vulnerabilities or compliant with all regulations after our assessment.

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services is limited to the fees paid for the specific engagement.
• We are not liable for indirect, incidental, consequential, or punitive damages.
• We are not liable for issues arising from changes made to your application after our assessment.

9. Disclaimer

Our services are provided "as is." While we use industry best practices and experienced professionals, we do not warrant that our assessments will identify every possible issue. Security and compliance are ongoing responsibilities that require continuous attention beyond any single assessment.

10. Termination

Either party may terminate an engagement with written notice. If you terminate before completion, payment is due for work already performed. We may terminate or suspend services if you breach these Terms.

11. Governing Law

These Terms are governed by the laws of the Netherlands. Any disputes will be submitted to the competent courts in Amsterdam, the Netherlands.

12. Changes

We may update these Terms from time to time. Material changes will be communicated via our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
